Independent Sales Representative Contract

Terms and Conditions

I. As an Independent Sales Representative for Aloof Shop, I agree to the following:

A. To promote the sale of Aloof Shop inventory actively, to honor the Aloof Shop tradition of integrity and personal service, and to honor the Aloof Shop policies promptly and at no charge to the Customer. To make no statements, claims or representations, or do any act that would impair

the name, reputation or goodwill of Aloof Shop.

B. To market to consumers and not to sell Aloof Shop inventory (1) for resale or (2) through third parties, including but not limited to any business entity or any type of retail establishment or any Web site or any online auction (e.g., eBay) unless authorized by Aloof Shop in writing.

I understand that except as otherwise provided in the Aloof Shop Policies (defined below),  I will not utilize Aloof Shop's trademarks or copyright protected material in the promotion of Aloof Shop inventory or the business opportunity online other than as permitted in the Aloof Shop Policies. I will not use or register, and do not currently own, any domain names, keywords or metatags that include, in whole or

in part, any of Aloof Shop's trademarks including, without limitation, the name Aloof Shop and I hereby consent to transfer to Aloof Shop any such domain names. I will not send unsolicited e-mails (also called “SPAM”) to promote Aloof Shop’s inventory or the business opportunity.

C. In addition to any amounts that I owe to Aloof Shop, I will be responsible for payment of all fees assessed by Aloof Shop and for Aloof Shop’s collection costs,

attorney fees, expenses and court costs incurred by Aloof Shop in collecting all such amounts. I understand that any amounts previously owed by me to Aloof Shop prior to signing this agreement, if any, shall be immediately payable to Aloof Shop. I understand that a shipment may not

be made on credit.

D. To recognize that I am an Independent Sales Representative and have no power or authority to incur any debt, obligation or liability, or make any promise or Contract on behalf of Aloof Shop. I understand that I will not be treated as an employee with respect to federal,

state or local tax purposes, and I am responsible for paying my own income and self-employment taxes.

E. To abide by the collective Aloof Shop policies, procedures and guidelines, including any Social Media & Advertising Policies and Guidelines, as well as any future amendments thereto (collectively, the “Aloof Shop Policies”).

F. To not use independent rep codes for any purchases made by me, on my behalf or sent to my primary place of residence.

G. Either party may terminate this Contract, with or without cause, at any time by email to customersupport@AloofShop.com or to the independent representative email on file.

H. To the extent permitted by law, I agree not to act as a representative or a private attorney general, or in any other representative capacity, and/or participate as a member of a class of claimants in any lawsuit against Aloof Shop brought in state or

federal court, or in arbitration, with respect to any claims arising under this agreement or with respect to my relationship with Aloof Shop. I understand that this waiver shall survive the termination of this Agreement and my removal as an Aloof Shop Independent Sales Representative.

I. By executing this Contract, I agree that any claim or lawsuit relating to this Contract, the Aloof Shop Policies or my service as an Aloof Shop Independent Sales Representative must be filed within six (6) months of the conduct or action giving rise to such claim or lawsuit.

I hereby waive any statute of limitations providing for a longer period in which to file a claim or lawsuit.

J. As an Independent Sales Representative for Aloof Shop( who buys and  resales merchandise), Aloof Shop and I must routinely communicate with each other via U.S. mail, telephone and other means (1) to receive account or order information,

(2) to update account or order information (3) to make or arrange payments, (4) to receive information about available products and promotions, and (5) for other business purposes. Regardless of any listing on a federal or state Do Not Call registry, I specifically authorize Aloof Shop

to call the residential, business or cell phone numbers that I have provided in this Contract using an agent, pre-recorded messages, automated dialers or any other method that Aloof Shop may choose to use from time to time. I request that any new

or additional telephone numbers that I furnish to Aloof Shop be incorporated by reference into this authorization. I can revoke these authorizations by contacting Aloof Shop at (424) 256-6354 or email at customersupport@AloofShop.com.

II. Other Provisions

A. This Contract shall be effective on the date it is signed and shall supersede any Contract previously made between me and Aloof Shop. This Contract may not be transferred or otherwise assigned without the prior written consent of

the Aloof Shop Legal Department.

B. All independent representative coupon codes are issued by Aloof Shop.

C. Aloof Shop reserves the right to discontinue inventory, independent representative coupon codes or bonuses and to change prices at any time. Aloof Shop reserves the right to change discount schedules or incentive programs at any time.

D. I hereby grant authorization to Aloof Shop LLC., at any time, to investigate my background, character and credit-standing and agree to provide any information requested by Aloof Shop for the purpose of determining whether I should be appointed as an Aloof Shop Independent Sales Representative and receive incentitives in accordance with the terms and conditions contained in this document. I also grant Aloof Shop permission to request a report from consumer reporting or other agencies in considering this application and subsequently for the purpose of an update, renewal or my contract, or reviewing or collecting my account. Upon my request, Aloof Shop will inform me of the name and address of each consumer reporting or other agency from which Aloof Shop obtained a report, if any, relating to me. Aloof Shop reserves the right to deny or limit the amount of  Independent Sales Representative coupon codes it extends to its Independent Sales Representatives. I agree that any extension of this contract by Aloof Shop to me shall be for business purposes and at Aloof Shop's discretion.

E. By clicking the button below, I give my consent for Aloof Shop to publicize in any medium my name, photo, performance statistics and statements, without payment, for any Aloof Shop-related purposes, including recognition of any sales, recruiting or motivation success I achieve.

F. By clicking the button below and completing an application/contract, I hereby agree to participate in Aloof Shop’s Preferred Preview program. By participating in this program, I understand that approximately one (1) to four (4) times a year,

on an ongoing basis, Aloof Shop will notify me by email about a new product or sales tool and its cost.I understand that I may cancel my participation in this program at any time by e-mailing Aloof Shop @customersupport@AloofShop.com or by calling Aloof Shop at (424) 256-6354.

G. For residents of Alaska, Hawaii and Guam only: to pay Aloof Shop applicable shipping fees. All locations charge shipping fees.

H. Within six (6) months after the termination of my relationship with Aloof Shop, I may reapply to become an Independent Sales Representative unless I was terminated by Aloof Shop. If I was terminated by Aloof Shop then I may not apply again. The acceptance of all applications are based solely on the discretion of Allof Shop.

I. If any provision of this Contract or of any of the Aloof Shop Policies shall, to any extent, be held invalid, illegal or unenforceable, in whole or in part, the validity, legality and enforceability of the remaining parts of this Contract and of the

Aloof Shop shall not be affected thereby.

J. This Agreement shall be construed and governed by the laws of the State of New York, without giving effect to principles of conflicts of law.

K. You acknowledge and agree that your Personal Information will be collected by Aloof Shop, LLC. and will be used to: fulfill the terms of this Agreement, support and better understand the business of our Independent Sales Representatives, make special offers

and promotions, and send you information about our inventory and business opportunities. You consent to your Personal Information being used by Aloof Shop and its affiliated companies, third party service providers, and Representatives in our Independent Sales Representative Program.

You acknowledge and agree that such use will occur globally, including in countries where data protection laws may differ from those of your home country. Please find our Privacy Statement at www.AloofShop.com for more information about our privacy and

data protection practices. If you wish to update, change or delete any of your Personal Information, you may email us @ customersupport@AloofShop.com. If you wish to opt out of receiving marketing from Aloof Shop, you may email us at CustomerSupport@AloofShop.com.

III. Specific Independent Sales Representative Provisions

A. If I desire to become an Indepenent Sales Representative, effective immediately upon the signing of this contract, I accept the provisions as follows and agree to abide by the Aloof Shop Polices, as well as any amendments thereto which can be found at www.Aloof Shop.com or by calling Aloof Shop at (424) 256-6354.

B. I understand that the percentage of my representative bonus is 5% of the total monthly net sales(before taxes and other fees) of my referred customers that entered my individual Sales Representative coupon code at the time of checkout. I understand that their purchases must be completed in order to be compensated and that I will not recieve any compensation for orders that were refunded, cancelled or not completed. I also understand that I will  not be issued any payments from Aloof Shop until the last day of every calendar month for as long as I am an Independent Sales Representative for Aloof Shop, LLC.

C. The Independent Sales Representative Program, including qualifications, method of payment, earnings  and bonuses, may be modified or changed at the sole discretion of Aloof Shop upon prior written notice to all participants.

D. Participation in the Independent Sales Representative Program may be terminated by either party at any time for any or no reason. Additionally, your account may be frozen pending an investigation of any suspected violation(s) of these Terms & Conditions.

E. I understand that Aloof Shop bonuses are one-time compensations per referred sales representative. I also understand that my referrred Representative's first customer must complete an order over $50 for me to receive my $15 bonus per referral. I will not receive any bonus for Representatives who do not have a customer that has completed a $50 order. An order is not completed if it is cancelled or returned. I also understand that the $15 dollar bonus is not a cash payment and is distributed as store credit and it cannot be used towards Aloof Shop gift cards. All Bonuses must be used by the end of each calendar month in which it was issued or else they expire.

All signatures to this Contract may be affixed personally or electronically. Applicants must be of legal age in their state of residence.

ALOOF SHOP INDEPENDENT SALES REPRESENTATIVE POLICIES

As an Aloof Shop  Independent Sales Representative (Aloof Shop Representative), it is important for you to understand the values that guide the company, as well as Aloof Shop’s expectations and guidelines for all Representatives. Representatives are responsible for meeting their contractual obligations. Throughout these policies, all references to he or she shall refer to both.

Advertising and Promotion Guidelines were created to help you advertise and promote Aloof Shop. Following these Policies and Guidelines will enable you to reach more Customers and increase your earnings while protecting the integrity of the Aloof Shop name. As an Independent Sales Representative, it is important to understand the processes through which you receive your earnings, your Aloof Shop bonuses, if applicable, as well as all policies that regulate reaching and maintaining levels of achievement, etc.

Note: The information found in these policies and on the AloofShop.com site, in its entirety, constitutes the current information, policies and procedures. Therefore, in the event of a conflict between information contained on www.AloofShop.com and information provided to you by Customer Support or any other source, the information contained on the www.AloofShop.com site will control. No exceptions will be made to any of the policies, rules or program content unless otherwise noted in these policies.

These policies may be modified by Aloof Shop at any time in its sole discretion by express amendment of these policies

or by the adoption of separate policies, rules, codes of ethics or the like that may have the effect of modifying those

contained in the following pages. Always reference www.AloofShop.com for updates or contact Customer Support at CustomerSupport@AloofShop.com.

Aloof Shop’s Promise to Customers

A cornerstone of our business since 2015, this promise ensures that Customers

are completely satisfied with their Aloof Shop purchases. 

As an Aloof Shop Representative you are expected to uphold your contractual obligations and protect Aloof Shop’s

name and excellent reputation by complying with all of Aloof Shop’s policies, procedures and guidelines.

Representatives are prohibited from engaging in theft, fraud or any practices that violate consumer

protection and credit laws. Additionally, Representatives are responsible for ensuring that they  comply with all applicable Federal, state and local laws.

Becoming an Aloof Shop Representative

A new applicant becomes an Aloof Shop Representative by fully completing and signing an Aloof Shop Independent Sales Representative Contract, which is subject to acceptance by Aloof Shop.Only one contract/account is allowed per Representative. In the event a second account is inadvertently opened, the second account will be closed. All Applicants must be of legal age in their state of residence. All Aloof Shop Representatives are independent contractors. Aloof Shop Representatives are not agents, employees, partners or franchisees of Aloof Shop and may not represent themselves as such. Each Representative is responsible for his/her own business decisions and expenditures, including the payment of self-employment taxes required by Federal, state and local laws. No fees other than those stated in official Aloof Shop literature are required of Representatives, and no initial product purchases are required to become an Aloof Shop Independent Sales Representative. Aloof Shop or the Representative may terminate the Aloof Shop Independent Sales Representative Contract at any time, with or without cause by email at CustomerSupport@AloofShop.com or at the Sales Representative's email address on file.

Co-applicants

Aloof Shop will permit two people who wish to be Representatives together to become co-applicants on a single account. (Exception for former Sales Representatives that have been previuosly terminated by Aloof Shop). At the time of appointment, the two individuals should both sign a single Aloof Shop Independent Sales Representative Contract and provide all of the requested information. The Representative and co-applicant are considered one and the same for purposes of the account, and both can conduct business and sign new Representative contracts as one. Neither may have a separate Aloof Shop account. Both mailing addresses of the  Representatives will be utilized by Aloof Shop for contact on the account, and in the case of recognition or awards, only the primary Representative is eligible to receive the award or recognition. Aloof Shop will permit an existing Representative to add to his/her account a co-applicant who does not have a separate Aloof Shop account. The existing primary Representative and new co-applicant must both complete and sign a new Aloof Shop Independent Sales Representative Contract and provide all of the requested information. The current account number remains the same. A co-applicant may not be changed more than once in a two-year period. A co-applicant may be removed from the primary Representative’s account by submitting to Aloof Shop,through written notice to Aloof Shop LLC Attn: Independent Sales Representative dept. 1 W Prospect Ave #103 Mount Vernon, N.Y. 10550, that the co-applicant be removed, signed by both parties currently on the Contract and notarized by a Notary Public. The primary Representative must complete and sign a new Aloof Shop Independent Sales Representative Contract and provide all of the requested information. The current account number remains the same. If a Representative seeks to remove a co-applicant because of a change in marital status, the separation agreement, settlement agreement or divorce decree must expressly provide for the removal of the co-applicant and such document must be provided to Aloof Shop, for the removal to occur. Aloof Shop will permit a co-applicant who has been on the account for at least 12 months and in good standing to become the primary Representative and for the primary Representative to become the co-applicant. A new Aloof Shop Independent Sales Representative Contract must be completed reflecting the change. Such a change may be made only once in a two-year period. In the event the primary Representative wishes to discontinue participation in the account and the coapplicant

wishes to assume the position of primary Representative, the co-applicant must have been on the account for a minimum of 12 months before that change can be made and the primary Representative must request the change in writing to Aloof Shop LLC Attn: Independent Sales Representative dept. 1 W. Prospect Ave #103 Mount Vernon, N.Y. 10550 Again, a new Aloof Shop Independent Sales Representative Contract must be completed reflecting the removal of the existing

primary Representative and the change of the co-applicant to the primary Representative. The new primary Representative may add a co-applicant at that time or at a future date, and after which, no further changes will be permitted for a two-year period. Aloof Shop may remove a co-applicant/primary applicant from an account at any time in its sole discretion. Aloof Shop will permit an Aloof Shop account and an Aloof Shop Independent Sales Representative Contract to be

established in the name of a corporation, partnership, Limited Liability Company or other legal entity (“Entity”) under the terms and conditions set forth below. The Entity is still required to comply with all policies and procedures that apply to individual Representatives and may not engage in any business other than Aloof Shop.

• Before an account may be established in the name of an Entity, Aloof Shop must approve in writing all owners of the Entity and the person who will be the principal contact with Aloof Shop on behalf of the Entity. The approval request shall be submitted in writing to Aloof Shop LLC Attn: Independent Sales Representative dept. 1 Prospect ave #103 Mount Vernon, N.Y. 10550.

• The approval request must include the name, address and social security number of all owners of the Entity. Once approval is granted, the account will be established in the name of the Entity.

• The individual who will be the principal contact person with Aloof Shop must be an owner of the Entity and sign the Contract on behalf of the Entity. By signing the Contract, the principal contact person is guaranteeing all financial obligations of the Entity to Aloof Shop. Aloof Shop must approve, as above, any changes in the principal contact person. Whenever the principal contact person changes, the new principal contact person must sign a new Contract on behalf of the Entity and guarantee all of its financial obligations. The principal contact person may not change more than once in any two-year period.

• At the time the Contract is signed, Aloof Shop must be provided with a current Federal Employer Identification (FEI) number for the Entity from the Internal Revenue Service. The FEI will become the tax identification number for the account.

• Any changes in the ownership of the Entity must be approved in writing by Aloof Shop, including any changes that occur from any sale or transfer of an ownership interest (including a transfer that occurs pursuant to the estate laws). Requests for changes shall be made in writing to Aloof Shop LLC Attn: Independent Sales Representative dept. 1 W. Prospect Ave. #103 Mount Vernon, N.Y. 10550, and shall include the names, addresses and social security numbers of all proposed new owners of the Entity.

• Former Aloof Shop Representatives who were removed by Aloof Shop may not have an ownership interest in the Entity or participate in the operation of the business.

• The name of the Entity may not contain the name “Aloof Shop” or otherwise infringe on any trademark belonging to Aloof Shop. In the event it is determined after the account is established that the name of the Entity infringes on any Aloof Shop trademark, the name of the Entity must be changed so that it is no longer infringing.

• Aloof Shop will not permit churches, synagogues, schools, PTAs or other charitable organizations to be appointed as an Aloof Shop Independent Sales Representative.

Credit Card Payments

Incentives

Aloof Shop reserves the right to disqualify any Representative from receiving any incentive or rewards earned due to manipulation of accounts in order to achieve the incentive. This also pertains to bonuses.

Prohibited Sales Methods

• Aloof Shop is a resell  company with a strong belief in personal contact with the consumer. Aloof Shop Independent Sales Representatives are contractually obligated to market only to consumers. Representatives may not sell merchandise to consumers or third parties for resale, to or through any business Entity or to any type of retail establishment. Aloof Shop Representatives may not establish or operate their own Aloof Shop retail businesses. Aloof Shop reserves the right to test or undertake alternative selling methods.

• Internet Sales: Representatives are prohibited from using the Internet to sell or auction Aloof Shop inventory. Representatives are also prohibited from utilizing Aloof Shop-sponsored Web sites or other Aloof Shop-related channels to solicit funds or other items for non-Aloof Shop-sponsored programs or activities, whether charitable or otherwise, from Customers, other Representatives or any other party. See Advertising Guidelines, which are part of these policies, for details.

• Export Sales: Aloof Shop Independent Sales Representatives may not make export shipments of Aloof Shop products nor may they knowingly sell products to other individuals who intend to export those products unless specifically authorized in writing by Aloof Shop.

• Non-traditional Selling Situations: Sales Representatives are not eligible to receive Aloof bonuses  from members who participate in non-traditional selling situations such as, but not limited to, export sales, Internet or through any unauthorized retail establishments. Aloof Shop reserves the right in its sole discretion to determine whether the sales of a Referred Representative fall into one of the above-mentioned situations and whether or not a Aloof Shop bonus will be paid

Reinstatements/Reappointments

If you close your account voluntarily, or if you are removed for inactivity or a Past-Due Account, you may, with Aloof Shop’s approval, have your association with Aloof Shop reactivated under the following circumstances:

• Reinstatement (5 months or less): If you are removed for five (5) or fewer months, you can resume business with no fee paid, provided your account is paid in full and the Reinstatement Contract is completed. You may be relinked to prior sales and recruiting performance, and your account number  and Length of Association remain the same.

• Reinstatement (6 to 13 months): If you are removed for more than five (5) but fewer than fourteen (14) months, you may resume business upon payment of a reinstatement fee of $20.00 usd, provided that your account is paid in full and reinstatement Contract is completed. Your account number will be restored, and the Length of Association is not impacted. Recruiting and Leadership bonuses, however, may not be restored.

• Reappointment: With Aloof Shop’s approval, you may reapply, more than thirteen (13) months after removal for inactivity only, provided that your account is paid in full. You will be appointed as a new Representative and receive a new account, pay appointment fee and complete full appointment process. All other Aloof Shop linkages will start anew. No relinkage of previous Referred members will be permitted. Representatives whose accounts are turned over to a collection agency may not be reappointed.

Note: Aloof Shop reserves the right to deny reinstatement or reappointment to any removed Representative in its sole discretion.

Removal as an Aloof Shop Independent Sales Representative

Either you or Aloof Shop may terminate your association with Aloof Shop at any time with or without cause. Circumstances that may lead Aloof Shop to terminate its association with you include but are not limited to:

• Inactivity: If you or your customers do not submit an order for four consecutive months, you are considered inactive and will automatically be removed from Aloof Shop’s active file.

• Past-Due Account: You may be removed if you fail to submit payments to Aloof Shop in a timely manner.

• Inappropriate Actions: If you act in violation of, or in ways inconsistent with your Aloof Shop Independent Sales Representative Contract or any of Aloof Shop’s policies and procedures, wherever found, you may be removed.

• Management Decision: Aloof Shop always reserves the right to terminate its association with a Representative at any time for any or no reason in its sole discretion.

Sales Leadership

Representatives participating in the Aloof Shop Bonus Opportunity are responsible for meeting their contractual obligations as Aloof Shop Independent Sales Representatives, including those specific to the Aloof Shop Bonus Opportunity. Sales Representatives are responsible for personally appointing, mentoring and training their Referred Representatives according to current appointment and new Representative training and development guidelines. Sales Representatives may not solicit or receive leads. 

They must abide by all of Aloof Shop’s policies and all other guidelines including any subsequent modifications for taking advantage of all tools or support systems Aloof Shop offers for Sales Representatives, at their own cost.

• Exception Requests: In order to protect the integrity of the  Aloof Shop Sales Program and to ensure fair and equitable treatment to all participating Representatives, there will be no exceptions made to any of the policies outlined herein, unless specifically noted. Additionally, any changes requested or related to your Representative account for rewards, such as bonuses, Referred Representative linkage, etc., must be requested within 5 months from, and including, the month of Appointment.

• Aloof Shop bonuses: Qualifications for Aloof Shop bonuses are based on achieving the required number of Referred Represetative orders, meeting required personal levels and required total sales.

- Sales Representatives, through their personal prospecting, appointing, training and developing efforts, may earn a bonus once their Referred Representative's first customer completes an order.

- You recieve one bonus per Referred Representative. Aloof Shop bonuses are not earned on Representative earnings, returns, cancelled orders or orders that are not completed. Returns will negatively impact Aloof Shop bonuses. There may also be other exceptions to this rule, e.g., any “while supplies last” products that do not ship due to out-of-stock status, will not count toward Aloof Shop bonuses.

- Additional bonuses may be earned for recruiting, developing and advancing titles.

- At the close of each month, Sales Representatives will recieve a copy of their Sales account via email to the email address on file, which details their Sales activity for that specific month. 

• Sales Representatives Hired by Aloof Shop: To be hired as an employee within Aloof Shop, a Sales Representative must transfer his/her existing Sales Representative account in accordance with Aloof Shop’s policies, to someone other than a co-applicant, spouse, domestic partner or family member. The newly hired Sales employee may not become the co-applicant on the former account nor remain a Representative. When a titled Sales Representative is hired, the Representative that referred them will receive a $50 bonus.

• Representatives May Not Be Hired or Compensated as Partners:

Sales Representatives may not be employed by Aloof Shop as stand-in Partners. No compensation of any form, including, but not limited to, gift certificates, sales tools, products, etc., may be given to another Representative. Sales Representatives may never be compensated for providing any assistance to any other Representative.

• Past-Due/Removed Accounts: As a Sales Representative, if your account is past due for three (3) weeks, any Loof Shop bonus or payments from use of your customer code will be withheld and used towards your past due balance. If you are terminated, you will receive a final statement and will no longer be entitled to receive Aloof Shop  bonuses or compensation from your customers unless you are reinstated and relinked.

Once your Referred Representative's first customer completes their first order, you will receive a $15 Bonus. This may be used to purchase merchandise, when necessary, to help keep your account active. Personal purchases are not used in calculating earnings, and do not count toward qualification for a higher Position of Achievement.

Aloof Shop Bonuses are automatically redeemed based on availability. 

• Recruiting Policies: As a Sales Representative, you are required to develop your own customers and Referred Representatives only through your own personal appointing efforts. Sales Representatives who, through their own personal appointing efforts, create customers or Referred Representatives for another Sales Representative are in violation of this policy and may be terminated.

The Referred Representaive must pay the required appointment fee if any, and the Contract must be accepted by Aloof Shop. Any violation of Aloof Shop policies could result in immediate removal. With regard to assignment of a new Representative,. This would include all appointments if any, e.g. Lead Sharing, Online Contracts and traditional face-to face, as well as reinstatements and reappointments. Representative recruiting activities that are prohibited include but are not limited to:

- Making representations about earnings potential that go beyond those made by the Company.

- Recruiting and/or making appointments over the Internet or by any electronic means (for example, by Webcam).

- Auctioning or selling Appointment Kits via the Internet or in any other manner.

- Selling or bartering leads or other information about prospective Representatives to other Sales Representatives.

- Advertising or promising free or reduced rates.

- Using other Representatives’ personal information for personal gain.

- Sales Representatives acting as Recruiter/Appointment Makers for Aloof Shop

• Referring Restrictions: A Sales Representative may not refer or have her spouse, domestic partner or other family member living in her household as a Referred Representative. Aloof Shop reserves the right to remove spouse’s entire account if this policy nis violated. Exception: a previously existing Referral relationship that was established at least one (1) year prior

to the move into the same household.

- Directors and Officers of Aloof Shop and Managers at Aloof Shop may not be co-applicants on the account of others, nor may they be appointed as anyone else's Referred Representative.

- Sales Managers cannot be Aloof Shop Representatives or co-applicants while employed by Aloof Shop.

- Former Sales Managers who wish to become Representatives after leaving Aloof Shop’s employment may do so, but must be appointed and may not be anyone else's Referred Representative or added as a co-applicant on an existing Representative’s account.

- Spouses and Family Members of Current Sales Managers: A spouse or domestic partner and any other immediate family member (parents, children, siblings) of an Aloof Shop Sales Manager may become a Sales Representative, but may not be appointed by a family member who is a Sales Manager. They must also not be recommended, recruited or appointed by any other Representative, nor become any other Representative's Referred Representative. Such individuals are eligible to receive bonuses and awards but cannot receive public recognition from Aloof Shop.

• Removal as a Sales Representatives: Should you, for whatever reason, cease to be an Aloof Shop Independent Sales Representative, you will be automatically removed and will receive no further Sales earnings on the sales of your customers. You may terminate your participation in the Aloof Shop Sales Opportunity at any time by submitting a written and signed notice to Aloof Shop at 1Prospect Ave. #103  Mount Vernon, N.Y. 10550 Attn: Aloof Shop Indepensent Sales Representative, indicating your desire to withdraw. Linkage to your Referrred Representatives will be broken. You will receive no further Aloof Shop bonuses on from referred Representatives. Circumstances that may lead Aloof Shop to terminate you may include but are not limited to:

- Management Decision: Aloof Shop always reserves the right to terminate its association with a Representative

for any or no reason in its sole discretion.

- Inappropriate Actions: Aloof Shop may remove any Sales Representative who does not comply with the Aloof Shop Independent Sales Representative Contract, Aloof Shop’s Policies, Reference Manuals or any other similar materials. If you are terminated by Aloof Shop, you lose all rights immediately and will receive no further Aloof Shop bonuses or payments. If a new Sales Representative has less than five Referred Representatives after the first 13 months, she/he will be removed. She will be permitted to reapply in the future, but her former Referred Representatives will not be relinked. Relink Request:  Previously titled Sales Representatives may request a one-time relink within 7 months of losing their account if they have at least 5 Referred Representatives at time of the relink request. Relink happens after existing and new Representatives place orders and are considered Registered Representatives. A relinkage will be permitted not more than once in a Representative’s Aloof shop association and only for good cause determined in Aloof Shop’s sole discretion. A family member or a friend cannot assume ownership of a deceased Representative’s account if they were not previously placed (or already placed before the death of the Representative) as a co-applicant on the account prior to death of the Representative. 

ADVERTISING AND PROMOTION POLICIES AND GUIDELINES FOR ALOOF SHOP INDEPENDENT SALES REPRESENTATIVES

These Policies and Guidelines have been created to help you advertise and promote Aloof Shop. Following these Policies and Guidelines will enable you to reach more Customers and increase your earnings while protecting the integrity of the Aloof Shop name. Please keep these Policies and Guidelines as part of your permanent files for future reference Note: Aloof Shop Representatives must follow these Policies and Guidelines in advertising and promoting Aloof Shop. Violation of these Policies and Guidelines may result in removal. Aloof Shop reserves the right to change, modify or discontinue these policies at any time in its sole discretion. Advertising and Promoting In order to fully protect all Aloof Shop names, the following rules must always be followed when Representatives advertise or promote Aloof Shop:

• Representatives must always clearly and prominently identify themselves by their own name followed by:

Aloof Shop Independent Sales Representative (which may be abbreviated as Aloof Shop Ind. Sls. Rep.).

Example: Jane E. Smith, Aloof Shop Independent Sales Representative.

• Aloof Shop Representatives should use only Aloof Shop-authorized advertising or promotional materials.

• Representatives may not copy or reproduce images, graphics, product photographs or photographs of any person, model or celebrity found on AloofShop.com other promotional materials or literature

of any kind or on any other Aloof Shop Web site.

• Aloof Shop Representatives are responsible for making truthful, accurate and legally acceptable product claims. Only approved performance or ingredient claims as found on AloofShop.com. 

Representative Advertising That Is PROHIBITED

Aloof Shop, has an image that must be protected in order to help our business grow. That’s why Avlopf Shop Independent Sales Representatives cannot participate in several types of advertising.

They include but are not limited to:

• Printed Materials: Aloof Shop Independent Sales Representatives are prohibited from using the Aloof Shop name or any other trademark names of Aloof Shop in printed advertising materials such as:

- All national magazines, like Time, Woman’s Day, Redbook, etc.

- All national/regional magazines, like Texas Monthly, The Washingtonian, New York, etc.

- National newspapers, like USA Today, The New York Times, The Wall Street Journal, etc.

- Multilevel marketing publications, like Making Money, etc.

- All outdoor commercial advertising such as transit ads, billboards, etc.

- Super catalogs or catalog listing services.

- Telephone numbers listed and advertised as Aloof.

- Promotions with other companies; for example, producing Aloof Shop place mats for an area restaurant is prohibited.

- Promotions with other businesses promoting a specific Aloof Shop product or any celebrity-endorsed Aloof Shop product.

- The offering of money, free gifts, products or any other inducement or enticement to agree to be appointed as an Aloof Shop Representative is strictly prohibited.

• Radio & Television: Aloof Shop does not authorize the use of the Aloof Shop name or any other trademark names of Aloof Shop by any Aloof Shop Independent Sales Representative on any radio or television broadcast advertising.

• Online Advertising & the Internet: You may not publish, create or maintain any Web site or Web page  for Aloof Shop but you may promote through any of your social media outlets. A Representative may not use her Personalized Akloof Shop Page to advertise or promote businesses, products or services that are not related to Aloof Shop—for example, non-Aloof Shop-sponsored charities, activities, ventures or services or products sold by any Entity other than Aloof Shop—and may not make available any link(s) to non-Aloof Shop Web sites or Web pages from his/her Personalized Aloof Shop Page.

• Domain Names, uRLs, Keywords, Metatags and E-mail Addresses That Include the Aloof Shop Name or Aloof Shop Trademarks: As an Aloof Shop Independent Sales Representative, you may not use, purchase or register any domain names, URLs, keywords, metatags or e-mail addresses that include, in whole or in part, the Aloof Shop name or any of Aloof Shop’s trademarks. To the extent an Aloof Shop Independent Sales Representative violates this policy, such Aloof Shop Independent Sales Representative acknowledges and agrees that she will, promptly upon Aloof Shop’s request, transfer to Aloof Shop, at his/her own expense, any such materials. Without limitation,you may not:

- Create, operate or maintain any Web site or Web page with the word “Aloof Shop” or any other Aloof Shop trademark in all or part of the URL (for example, “www.AloofShopproductsandmore.com,” “www.Aloof Shopproducts.xyz.com” or “www.xyz.com/AloofShopproducts”).

- Purchase a “keyword” from a search engine or other online service that comprises or includes the word “Aloof Shop” or any other Aloof Shop trademark, irrespective of whether the results of searches for that term include “Aloof Shop” or another Aloof Shop trademark.

- create an e-mail address that includes “Aloof Shop” or any other Aloof Shop trademark; for example, AloofShopLady12345@aol.com. For any e-mail address, that includes “Aloof Shop” or any other Aloof Shop trademark, created prior to February 12, 2015, you may continue to use such e-mail address as long as your use complies with these Advertising and Promotion Policies and Guidelines.

• Online Auctions, Markets and Outlets: As an Aloof Shop Independent Sales Representative, you may not list for sale or advertise Aloof Shop merchandise or the Aloof Shop selling opportunity in online auctions (including but not limited to eBay and Yahoo! Auctions), markets or other online outlets. This means that,

without limitation, you may not:

- Create listings on eBay for Aloof Shop products.

- Sell Aloof Shop products through an online storefront, for example, through Amazon.com or Yahoo! Shopping or through an independently managed online storefront.

• unsolicited E-mails: As an Aloof Shop Independent Sales Representative, you may not send, transmit or otherwise communicate any “spam” or other unsolicited e-mail messages related to Aloof Shop to any individual without her prior knowledge and prior consent, or otherwise in violation of any law, ruleor regulation. This means that, without limitation, you may not:

- Send e-mails to prospective Customers to promote the sale of Aloof Shop products.

- Send e-mails to prospective Aloof Shop Independent Sales Representatives for recruiting purposes or to promote the Aloof Shop selling opportunity.

• Supermarket Bulletin Boards: Every local grocery store has a bulletin board where local residents fill out cards advertising services such as baby-sitting, cars for sale and apartments for rent. This is a great way, usually free, to advertise. If you do use one of the blank cards, please type or clearly print your message. Or, you may wish to simply place your authorized Aloof Shop business card in the rack.

• Welcome to the Neighborhood: When people move into a new neighborhood, they are on the lookout for new ways to buy familiar services and goods. That’s why almost every community has a local service such as the “Welcome Wagon” that offers special deals for new residents. Find out if you can add some Aloof Shop merchandise to the Welcome Pack. Add some merchandise, your Aloof Shop business cardwith your name and phone number on the back and a personalized introductory note.

Note: There is often a fee for participating in this type of service.

• Newsletters: Some Representatives like to take advantage of Aloof Shop’s online newsletters to help encourage higher sales and better recruiting.

Representatives who choose to do so must identify the newsletter as theirs alone and not officially connected to Aloof Shop LLC. In addition, Representatives must identify themselves by their name and as Aloof Shop Independent Sales Representatives. The use of the word “ALOOF SHOP” must be in capital, block letters only. Reminder: All such newsletters must comply with all of Aloof Shop’s Policies and Procedures. College newspapers are another good choice. A small three- or four-line ad in the classified section will get the word out that if people are interested in Aloof Shop, all they have to do is call their Aloof Shop Independent Sales Representative.

• Online Classifieds: Many local newspapers and weekly publications are available online. at (phone/e-mail/Web site) such as craigslist. Work from other publications are subject to the copyright laws of the United States, and should not be used unless written permission is obtained from the copyright owner of the publication. Aloof Shop will not assume responsibility for any unauthorized copying by an Aloof Shop Independent Sales Representative.

• Customized E-mail Signature: Turn your e-mail signature into a mini-ad. It’s a free, easy way You may advertise Aloof Shop through these local online classified advertisementsas well as on a Web site such as Craigslist,Yahoo! Local, Google Local. It’s important to check with the publication’s advertising department to determine the best way to promote Aloof Shop. Keep it brief, but include what you think is important. This “tag” will be the closing of every e-mail you send. Example: Mary Smith, Aloof Shop Independent Sales Representative. VISIT MY WEB PAGE: www.Aloofshop.com/msmith. Or call: 1-555-555-5555. Want to earn extra money? Know anyone who may want to hold an Aloof Shop Fund-Raiser?

Note: No other business name may be included in any form of advertising or promotion. If, for example a Representative also sells “XYZ Toys,” that name cannot appear in the advertisement or promotion of Aloof Shop's Otherwise, Customers could be misled to assume that Aloof Shop and XYZ Toys are related companies.
